Terms of Service

1. Acceptance of Terms

By accessing or using IdeaLabs ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

IdeaLabs is a demand-first software marketplace that allows users to:

• Post software ideas they would pay for
• Back/support ideas posted by others
• Connect requestors with builders (developers)
• Indicate willingness to pay for potential software solutions

Important: Backing an idea or indicating a price you'd pay is a non-binding expression of interest only. It does not constitute a legal commitment to purchase, a contract, or any financial obligation until you separately and explicitly agree to purchase a finished product.

3. User Accounts

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. User Content

You retain ownership of content you submit to the Platform ("User Content"). By submitting User Content, you grant IdeaLabs a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating the Platform.

You represent and warrant that:

• You own or have the right to submit all User Content
• Your User Content does not infringe any third-party intellectual property rights
• Your User Content does not violate any applicable laws
• Your User Content is not false, misleading, defamatory, or fraudulent

5. Prohibited Conduct

You agree NOT to:

• Use the Platform for any illegal purpose or in violation of any laws
• Submit false, misleading, or fraudulent information or ideas
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to the Platform or other users' accounts
• Use automated systems (bots, scrapers) without our express written permission
• Circumvent any security measures or access restrictions
• Infringe on any intellectual property rights
• Spam, solicit, or send unsolicited communications to other users
• Manipulate or artificially inflate backing numbers or committed revenue figures
• Create multiple accounts for deceptive purposes

6. Subscriptions and Payments

Certain features of the Platform require a paid subscription ("Builder Pro"). By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide accurate billing information
• Authorize us to charge your payment method on a recurring basis

Refunds: Subscription fees are generally non-refundable. We may, at our sole discretion, provide refunds in exceptional circumstances. Contact us at support@idealabs.io for refund requests.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

7. No Guarantees

IdeaLabs is a marketplace for expressing demand. We make NO guarantees that:

• Any idea will be built by a developer
• Backers will actually purchase any resulting software
• Ideas posted represent genuine demand
• Committed revenue figures will translate to actual sales
• Builders will deliver quality products

All transactions between requestors and builders are at the parties' own risk. IdeaLabs is not a party to any agreement between users.

8. Intellectual Property

The Platform, including its design, features, code, and branding, is the property of IdeaLabs and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Ideas: Ideas posted on the Platform are not protected by IdeaLabs. We do not take ownership of ideas, but we also do not guarantee their confidentiality. By posting an idea publicly, you acknowledge that others may view, discuss, or potentially develop similar solutions independently.

9. Limitation of Liability

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR COMPLETENESS OF INFORMATION
• UNINTERRUPTED OR ERROR-FREE SERVICE

11. Indemnification

You agree to indemnify, defend, and hold harmless IdeaLabs, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights
• Any dispute between you and another user

12. Dispute Resolution

Informal Resolution: Before filing any legal claim, you agree to contact us first at legal@idealabs.io and attempt to resolve the dispute informally for at least 30 days.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles.

Jurisdiction: Any legal action or proceeding shall be brought exclusively in the courts located in Melbourne, Victoria, Australia.

13. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Platform will immediately cease
• We may delete your account and all associated data
• Provisions that by their nature should survive will survive (including Limitations of Liability, Indemnification, and Dispute Resolution)

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and IdeaLabs regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
